These Terms & Conditions ("Terms") govern every purchase from and use of the website operated by Veridryx Sciences and Research LLC ("Veridryx", "we", "us"). By placing an order or using this site you agree to these Terms. If you do not agree, do not use the site or place an order.

1. Research use only

All research products sold by Veridryx are supplied solely for in-vitro research, laboratory research and analytical use by qualified persons. They are not drugs, dietary supplements, foods, cosmetics or medical devices. They are not intended for human or veterinary use, for consumption, injection, inhalation or application to the body, or for use in the diagnosis, cure, mitigation, treatment or prevention of any disease. Our products have not been evaluated or approved by the U.S. Food and Drug Administration.

Veridryx is not a pharmacy, compounding pharmacy, outsourcing facility, medical provider, drug manufacturer or supplement company, and nothing on this site is medical advice. Our Research Use Policy forms part of these Terms.

2. Who may buy

You may purchase research products only if all of the following are true:

• You are at least 21 years old and have legal capacity to enter a binding contract.
• You are a researcher, or are buying on behalf of a laboratory, institution or business, with the training and facilities to handle research chemicals safely.
• You are buying for lawful in-vitro or laboratory research only.
• You are not buying for, and will not supply the products to, any person for human or animal use.

3. Buyer representations and restrictions

By placing an order you represent and warrant that the statements in Section 2 are true, and you agree that you will not:

• use, or allow anyone to use, any product in or on humans or animals;
• resell, relabel, repackage or distribute any product for human or animal use, or as a drug, supplement, food or cosmetic;
• remove or obscure lot numbers, labels or research-use statements;
• make or repeat any medical, therapeutic, dosing or human-use claim about any product;
• export a product in breach of U.S. export control or sanctions laws or the laws of the destination country.

You are responsible for knowing and complying with all federal, state and local laws that apply to the purchase, possession, handling, use and disposal of the products.

4. Orders, verification and refusal

Your order is an offer to buy. We accept it only when we ship it. We may ask for information to verify your identity, your organization or your research use, and we may refuse, cancel or limit any order at our discretion, including where:

• any communication, review, social post or order note suggests human or animal use, or asks for dosing or administration information;
• we cannot verify the information you gave us;
• the shipping destination is outside the areas we serve or is restricted by law;
• we suspect fraud, resale for human use, or a breach of these Terms.

If we cancel a paid order, we refund the amount paid to the original payment method.

5. Prices and payment

Prices are in U.S. dollars and may change without notice. Applicable taxes and shipping are shown at checkout. We may correct pricing or description errors, and cancel affected orders, even after an order is placed.

6. Shipping and risk of loss

Shipping is governed by our Shipping Policy. Title and risk of loss pass to you when the carrier delivers the order to the shipping address you provided.

7. Returns

Returns are limited and accepted only as described in our Returns Policy.

8. Handling, safety and assumption of risk

Research products may be hazardous and their properties may not be fully known. They must be handled only by trained persons using appropriate protective equipment and laboratory practice, and stored, used and disposed of according to the label, safety data sheet and applicable law. You assume all risk arising from the possession, handling, use, misuse and disposal of the products after delivery.

9. Information on this site

Technical content on this site, including specifications, articles and certificates of analysis, is provided for research and educational purposes only. Certificates of analysis report results for the specific lot tested on the date stated. We do not provide, and our staff will not give, dosing, administration, protocol or human-use guidance.

10. Limited warranty and disclaimer

We warrant only that a product, when delivered, matches its label and the certificate of analysis for its lot. If it does not, your remedy is replacement or refund under our Returns Policy. To the fullest extent permitted by law, all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, are disclaimed. Products are sold "as is" for research use.

11. Limitation of liability

To the fullest extent permitted by law, Veridryx and its owners, employees and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from use of a product contrary to these Terms. Our total liability for any claim relating to an order will not exceed the amount you paid for the product giving rise to the claim.

12. Indemnification

You will defend, indemnify and hold harmless Veridryx and its owners, employees and suppliers from any claim, loss, liability, penalty or expense (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of any product, or your violation of any law or third-party right.

13. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising from these Terms or a purchase will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.

14. Changes and severability

We may update these Terms at any time by posting a new version on this page. The version in effect when you place an order applies to that order. If any provision is held unenforceable, the remaining provisions remain in effect.
